These Terms and Conditions constitute a binding agreement between Great Heights and any viewer or user (hereinafter collectively referred to as ‘you’ or ‘Your’ where applicable) of our website. If you disagree with any part of these Terms and Conditions please do not use our website. Your access and continued use of this website binds you to this agreement. Great Heights reserves the right and at its own discretion, to change or modify any part of this website, Terms and Conditions, or the Terms and Conditions Policy in its entirety. Any changes made to this website or Terms and Conditions shall be effective immediately upon posting. You agree to review these Terms and Conditions each time you access our website so that you are made aware of any such changes or modifications. Persons under the age of 18 are not allowed to view, register, enroll in any of our programs, or use this website without the consent and supervision, of their parents or legal guardians.

Great Heights ^TM

Great Heights currently owns and operates this website (the “Site”). Great Heights is a web-based information and communication application service owned and administered by Great Heights through the Site. Great Heights application’s use is for displaying and viewing care management assessments, personal health records, personalized health education, and care coordination communication.

DEFINITIONS

Care Coordination Member is any Great Heights viewer or user invited by a Sponsor to use the Great Heights application. Care Coordination Members must be a person engaged in treatment, care plan, care coordination, care management, or healthcare beneficiary relationship with a Sponsor or Care Partner. Care Coordination Members must have active registrations using a registration code provided in an invitation by a Sponsor to use the Great Heights application member services and must be compliant with the Great Heights Terms and Conditions for Members.

Care Partner is any Great Heights viewer or user invited by a Sponsor to use the Great Heights application. Care Partners must be other licensed physicians or other qualified healthcare professionals or other qualified healthcare practice organizations, or qualified health plans designated by a Care Coordination member’s Sponsor(s) as permitted by law. Care Partners must have active registrations using a registration code provided in an invitation by a Sponsor to use the Great Heights application care partner services and must be compliant with the Great Heights Terms and Conditions for Sponsors and Care Partners.

Sponsor is any viewer or user of our website that is a licensed physician or other qualified healthcare professional, qualified healthcare practice or organization, or qualified health plan that has entered a service agreement with Great Heights to provide use of the Great Heights application to members the sponsor invites. Sponsors must have an active Sponsor account in the system and must be compliant with the Great Heights Terms and Conditions for Sponsors.

CHARGES AND BILLING FOR CARE COORDINATION MEMBERS

The charge is free for Care Coordination Members.

Care Coordination Members use Great Heights by invitation from a Sponsor that has entered a service agreement with Great Heights to use Great Heights and provide use of the Great Heights program to members the Sponsor invites. By registering for this website, you are accepting your Sponsor’s invitation to use the Great Heights. As a Care Coordination Member, you will not be charged a member registration fee by Great Heights when you register using the registration code provided to you by your Sponsor. You will have access to using specific care coordination member information on Great Heights including but not limited to My Self-Assessments. For your registration as a Care Coordination Member to be active, you must have at least one Sponsor in an active service agreement with Great Heights, with an active Sponsor account in the system, and compliant with the Great Heights Terms and Conditions for Sponsors. If for any reason you cease to meet the eligibility requirements of a Care Coordination Member, your membership will be cancelled and you will not have access to viewing or using Great Heights program.

CHARGES AND BILLING FOR CARE PARTNER MEMBERS

The charge is free for Care Partner Members.

Care Partner Members use Great Heights by invitation from a Sponsor that has entered a service agreement with Great Heights to use Great Heights program and provide use of the Great Heights program to members the Sponsor invites. Care Partners are other providers of healthcare services to a Care Coordination Member designated by a Care Coordination member’s Sponsor(s) as permitted by law. A designated Care Partner may be a licensed physician, other qualified healthcare professional, qualified healthcare practice, qualified healthcare organization, or qualified health plan. Care Partners must complete the Great Heights credentials verification process. By accepting a Care Partner Member invitation and registering for this website, you are accepting your Sponsor’s invitation to use the Great Heights as a Care Partner Member. As a Care Partner Member, you will not be charged a member registration fee by Great Heights when you register using the registration code provided to you by your Sponsor. You will have access to use Great Heights program to view Care Coordination Reports on Great Heights only as permitted by law. For your registration as a Care Partner Member to be active, you must have at least one Sponsor in an active service agreement with Great Heights, with an active Sponsor account in the system, and compliant with the Great Heights Terms and Conditions for Sponsors. If for any reason you cease to meet the eligibility requirements of a Care Partner Member, your membership will be cancelled and you will not have access to viewing or using Great Heights program.

You may upgrade your Care Partner membership to Sponsor membership at any time by submitting a Sponsor application.

CHARGES AND BILLING FOR SPONSORS

The charge is not free for Sponsors.

A Sponsor may be a licensed physician, other qualified healthcare professional, qualified healthcare practice, qualified healthcare organization, or qualified health plan. Sponsor must complete the Great Heights credentials verification process. Sponsor must also enter a service agreement with Great Heights to use Great Heights program and provide use of the Great Heights program to members the Sponsor invites. By registering for this website, a Sponsor hereby authorize Great Heights and/or Third Parties to charge Sponsor in advance for all applicable fees incurred by Sponsor in connection with Sponsor’s chosen service and registration for Sponsor account. Sponsor hereby understand and agree that in most cases, Great Heights and/or an affiliated Third Party will be charging your designated credit card in accordance with the payment schedule of the service for which you have registered, but some service fees may accumulate on your credit card account before they are actually charged to Sponsor credit card. Sponsor further understand and agree that it is Sponsor’s responsibility to notify Great Heights of any changes to Sponsor ‘s credit card or if Sponsor credit card has expired otherwise Sponsor’s access to the Service may be disconnected or interrupted. All fees shall be paid in U.S. dollars. Irrespective of whether payment is made by designated credit card or other agreed payment method, Sponsor hereby authorize Great Heights and/or Third Parties to charge Sponsor in advance for all applicable fees incurred by Sponsor in connection with Sponsor’s chosen service and registration for Sponsor account. Great Heights reserves the right to change any fees (which includes but is not limited to, charging a fee for packages, options, upgrades and/or as service for which Great Heights does not currently charge a fee) or billing methods at any time. Great Heights also has the right to collect applicable taxes and impose premium surcharges for some services and these surcharges may apply immediately after Sponsor registers for the associated service. Sponsor may cancel Sponsor’s Account or any associated optional or upgraded services therefore at any time, but Great Heights will not refund any remaining portion of Sponsor pre-paid fees and Sponsor may be charged an additional cancellation fee.

REGISTRATION AND PASSWORD

You are responsible for maintaining the confidentiality of your login ID and password (“Registration”). You shall be responsible for all uses of your Registration, whether or not authorized by you. You further represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States or other applicable jurisdiction. You also agree to: (i) provide true, accurate, current and complete information about yourself as submitted to Great Heights, and (ii) maintain and promptly update your Registration information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Great Heights has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete. Great Heights has the right to immediately suspend or terminate your account and refuse any and all current or future use of this website, or related products and services (or any portion thereof). Through your use of this website and related services you consent to the collection and use (as set forth in the Privacy Policy) of certain information about you, including the transfer of this information to the United States and/or other countries for storage, processing and use by Great Heights and its affiliates.

USE OF THE WEBSITE

By accessing the website, you warrant and represent to Great Heights that you are legally entitled to do so and to make use of information made available via the website just as if you had signed this agreement. Becoming a Registered User

As a registered user with Great Heights, you will be provided access based on the level of service registered for. You must register in accordance with instructions that you will find on this Website to enjoy our services. For your registration to become active, you must meet the eligibility requirements of the user level you are registering for.

Without limiting any other provision of these Terms & Conditions, if you provide any information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such is the case, we reserve the right to suspend or terminate your user account and refuse you service.

Conflict of terms

FOOD DATABASE AND NUTRITIONAL INFORMATION

Great Heights uses the Great Heights food database for evaluation and to proffer lifestyle modification education through its Practical Weight Management self-assessment tool to assist you in your weight management goals. The Great Heights food database contains nutritional information entered directly by Great Heights. The Great Heights food database nutritional information is also periodically updated with new information entered by Great Heights program and other Great Heights program or Great Heights plan enrollees. Please be advised that nutritional information in the Great Heights food database has not been reviewed by nutritionists or other specialists with the expertise required to provide you with complete, accurate, or reliable information. Great Heights does not guarantee, adopt, endorse, or accept responsibility for the accuracy, completeness, usefulness, or reliability of any nutritional recommendation made to you. Under no circumstance will Great Heights be responsible for any loss or damage resulting from your reliance on nutritional information from the Great Heights food database or nutritional recommendations made to you by Great Heights or any other Great Heights program or plan.

WHO WE SHARE YOUR Great Heights INFORMATION WITH

Care Coordination Members use Great Heights by invitation from a Sponsor that has entered a service agreement with Great Heights to provide use of Great Heights to members the Sponsor invites. By registering for this website, Care Coordination Members are accepting a Sponsor’s invitation to use the Great Heights application.

Your use and your Sponsor(s) use of Great Heights supports the healthcare relationship with your healthcare professionals by facilitating patient and provider interactive engagement emphasizing chronic health conditions, preventive health, health and wellness, health risks reduction, evidence-based guidelines, personalized health education, self-care management tools, and a streamlined personal health record.

By using Great Heights as a Care Coordination Member, Care Coordination Members may view their Great Heights personal health information submitted by their Sponsor(s) including but not limited to information submitted on My Profile, My Self-Assessments, My Biometrics, My Reports, and any other submissions created by their Sponsor(s) to Great Heights.

Great Heights personal health information will be shared with Care Partners designated by your Sponsor(s) for treatment purposes including by secure electronic communication as permitted by healthcare privacy regulations. Care Partners are other providers of healthcare services to a Care Coordination Member as defined above designated by a Care Coordination member’s Sponsor(s) as permitted by law. Treatment purposes are defined under HIPAA as the provision, coordination, or management of health care and related services by one or more health care providers, including the coordination or management of health care by a health care provider with a third party; consultation between health care providers relating to a patient; or the referral of a patient for health care from one health care provider to another. HIPAA rules permit both the use and disclosure of personal health information (PHI) for treatment purposes without patient consent.

Notwithstanding the aforementioned, personal or identifying information submitted by Care Coordination Members will only be disclosed to a Care Coordination Member’s sponsor or other provider of healthcare services that is a licensed physician, other qualified healthcare professional, qualified healthcare practice, qualified healthcare organization, or qualified health plan. The Care Coordination Member agrees that such Sponsor(s) or such other provider of healthcare services may reproduce, display, transmit, and communicate member submissions in accordance with applicable state and U. S. federal laws.

Great Heights contains information and communication on selected limited PHI and does not reflect your complete medical record. Great Heights information are not designated record sets as defined by applicable state and U. S. federal laws. Where and when needed by the member, the complete medical record PHI should be requested from the individual member’s healthcare providers.

We never sell or rent your personal information. Great Heights may also disclose your personal information if required to do so by law (for example, a subpoena) or regulation, or in good faith to (a) comply with legal processes served on the site, or (b) protect the rights and property of Great Heights, or (c) where our records indicate fraudulent activity or other deceptive practices that a governmental agency should be made aware of, or (d) where your communication suggests possible harm to others.

AUTHORIZATION FOR RELEASE OF INFORMATION

By using Great Heights as a Care Coordination Member, Care Coordination Members authorize Great Heights to release information submitted by Care Coordination Members to their Sponsor(s) and or their Care Partners designated by their Sponsor(s) including but not limited to information on My Profile, My Self-Assessments, My Biometrics, My Reports, and any other submissions created by such member to Great Heights.

HIPAA rules permit both the use and disclosure of personal health information (PHI) for treatment purposes without patient consent. Great Heights personal health information including information or other submissions to Great Heights created by a Sponsor(s) will be shared with Care Partners designated by your Sponsor(s) for treatment purposes including by secure electronic communication as permitted by healthcare privacy regulations.

DE-IDENTIFIED INFORMATION

De-identified information, which will only be in general terms and will not contain any personal or identifying information about members, may be used or disclosed in order to create comparative databases or to perform statistical analysis and for such other lawful purposes.

INDEMNIFICATION

You agree to indemnify, hold harmless and defend Great Heights, its affiliates, and members, directors, officers, employees, stockholders, representatives, or agents, of any of the foregoing (that is Great Heights and its affiliates) from any and all third party claims, liability, damages and/ costs(including but not limited to reasonable attorney fees and expenses) arising from (i) your improper use of this website (ii) your failure to comply with any of these Great Heights Terms and Conditions for Members as contained in this document (iii) your Sponsor(s) failure to comply with Great Heights Terms and Conditions for Sponsors (iv)your infringement of any intellectual property whatsoever of any person or entity (v) or the infringement or use by any other user of your account, of any intellectual property or other right of any person or entity.

LIMITATION OF LIABILITY

Great Heights SHALL NOT BE RESPONSIBLE NOR LIABLE FOR ANY DAMAGES TO OR VIRUSES THAT MAY INFECT YOUR COMPUTER OR ANY OTHER ELECTRONIC DEVICES OR OTHER PROPERTY, ON ACCOUNT OF ITS ACCESS TO, USE OF OR BROWSING ON THIS WEBSITE OR DOWNLOADING ANY KIND OF MATERIALS FROM THIS WEBSITE SUCH BUT NOT LIMITED TO TEXT, MUSIC, IMAGES, VIDEO AND SO ON.

Failure on the part of Great Heights to insist on or strictly enforce the performance of any part of these Terms and Conditions shall not constitute a waiver of rights under this agreement, whether for past or future actions of any party involved.

APPLICABLE LAW AND JURISDICTION

The law of the state Missouri will govern any dispute between the parties. EACH PARTY EXPRESSLY WAIVES ALL RIGHTS TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING UNDER THIS AGREEMENT. Disputes (other than collection matters) arising under or relating to this agreement will be submitted to the American Arbitration Association (“AAA”) office located closest to Kansas City, Missouri for binding arbitration in accordance with the AAA’s Commercial Arbitration Rules. The cost of the arbitration, including the fees and expenses of the arbitrator, will be shared equally, with each party paying its own attorneys’ fees. The arbitrator will have the authority to award damages only to the extent otherwise available under this agreement. You hereby consent and submit to the personal jurisdiction of such courts for purposes of litigating any arising action.

SUBMISSIONS

All emails, articles, suggestions, ideas and any other submissions or information (collectively referred to as ‘submissions’), transmitted to Great Heights by you becomes and remains the property of Great Heights. Such submissions shall constitute an assignment to Great Heights all your worldwide rights, titles, interests in all copyrights and other intellectual property contained in the submissions. Great Heights shall be under no obligation, to maintain such submissions in confidence, respond to such submissions, or pay you any compensation for the submissions. Great Heights may analyze and use such submissions for presentations, advertisements or any other commercial purposes; however information which we disclose shall only be in general terms and will not contain any personal or identifying information about you.

You agree to indemnify Great Heights against any damages, losses, liabilities, judgments, costs or expenses (including reasonable attorneys' fees and costs) arising out of a claim by a third party relating to any submissions.

ACCURACY

Great Heights attempts to ensure the integrity of Great Heights but makes no guarantees about the accuracy or correctness of Great Heights. It is possible that Great Heights may include typographical errors, inaccuracies or other errors. If you find an inaccuracy, please inform Great Heights technical support so that a correction can be made. Information on Great Heights may be changed or corrected withut notice.

REGISTRATION CODE

You will be issued a registration code to use during the registration process to create a username and password. The registration code expires once it has been used or if it has not been used after 30 days of when it was issued. If your registration code expires before you have used it and you still wish to register, you must request a new registration code.

COMMUNICATIONS SECURITY

To protect your privacy, you receive email notifications messages that do not contain any sensitive data or personal health information when new information is available in your Great Heights. It is your sole responsibility, discretion, and judgment to respond to Great Heights email notification messages by viewing your new information in Great Heights. Great Heights email notification messages may be seen if other people have access to the personal e-mail address you provided. If you do not want other people that may have access to the personal e-mail address you registered with Great Heights to be able to view email notification messages you receive from Great Heights, then it is important and it is your responsibility to provide a personal e-mail address only you have access to.

We encourage all members to establish a valid personal e-mail address. E-mail notification message from Great Heights are an important means of alerting and communicating the availability of new information in Great Heights to you. Several free e-mail options are available on the internet. We encourage you to conduct a research of available options and to use your discretion and independent judgment to select the option that best fits you.

Notwithstanding the above, an alternate registration option exists for members who do not have a valid personal e-mail address. The alternate registration option is only available to Care Coordination Members. To register as a Care Coordination Member, you must have at least one active sponsored registration in the system by a Sponsor in a service agreement with Great Heights, with an active Sponsor account in the system, and compliant with the Great Heights Terms & Conditions for Sponsors.

You may request the alternate registration option only by contacting your Sponsor directly. The decision to grant your request and initiate the process for the alternate registration option is at the sole discretion and judgment of your Sponsor. Instructions on the alternate registration option may only be obtained from your Sponsor if your Sponsor elects to grant the alternate registration option.

Members registered in Great Heights with the alternate registration option will not receive email notification messages or any other notification of new information from Great Heights. It is your sole responsibility to log in and view new information that may be available in your Great Heights account periodically at your discretion and judgment.
